After a short introduction the participants will discuss several examples of clauses regarding the following critical issues:

  • Conclusion and effectiveness of general conditions of sale (or purchase)
  • Delivery, place of delivery, passing of risk
  • Liability of the seller in case of late delivery
  • Limitation of seller’s liability for damages
  • Choice of law and jurisdiction
